NOTICE THAT THIS CONTRACT IS SUBJECT TO ARBITRATION PURSUANT TO CHAPTER 48, TITLE 15 OF THE SOUTH CAROLINA CODE OF LAWS.This Terms of Service and Privacy Policy framework (the “Agreement”) constitutes a legally binding contract entered into by and between you (”User”) and Project Penny LLC (”Company”). By subscribing to our services, you acknowledge you have read, understood, and agreed to be bound by this Agreement. The Services are exclusively intended for, and strictly limited to, individuals who are eighteen (18) years of age or older.

1. SMS Privacy Policy & Data SharingProject Penny LLC is committed to protecting your privacy. This policy outlines how we handle the mobile information you provide when opting into our grocery alert service.

• SMS Data Sharing Clause: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. We may share your phone number exclusively with our direct telecommunications routing partners strictly to facilitate the delivery of the service.

• Opt-In/Opt-Out & TCPA Consent: By subscribing to Project Penny, you provide your prior express written consent to receive automated marketing and informational SMS grocery deal alerts. Message frequency varies. Message and data rates may apply. You can reply STOP, QUIT, CANCEL, or UNSUBSCRIBE at any time to instantly cancel your SMS subscription and halt all future messages. Reply HELP for customer care information.

1. Subscription, Billing, and Strict Refund Policy

• Subscription Mechanics: Project Penny provides access to its automated grocery deal notification engine via a continuous, auto-renewing monthly subscription billed at $5.00 per month.

• No Prorated Refunds: All subscription fees are strictly non-refundable. The Company operates a strict no-refund policy. We do not provide refunds, credits, or prorated billing for partial-month subscription periods or instances where the User failed to act upon the provided grocery deals.

• Cancellation: You may cancel your subscription at any time via the customer portal link provided in your welcome communications. Upon cancellation, you will retain access to the Services through the conclusion of your current paid billing cycle.

1. Limitation of Liability & Assumption of Risk

• Aggregator Status & Merchant Refusal: Project Penny LLC operates exclusively as a data aggregator. We maintain no corporate affiliation or agency with Publix, Harris Teeter, Kroger, Walmart, or any third-party rebate application (e.g., Ibotta, Fetch). You assume all risk in the event that a third-party merchant or store manager refuses to honor a digital coupon, alters their promotional policies, or lacks sufficient inventory of an advertised item.

• AI Hallucinations & Algorithmic Inaccuracies: The Services rely upon artificial intelligence algorithms to parse data and generate automated text messages. You expressly acknowledge that AI is probabilistic and prone to “hallucinations”—the generation of factually incorrect or fabricated information. The Company makes no warranties regarding the absolute accuracy or temporal validity of any deal transmitted.

1. Dispute Resolution & Class Action WaiverAny controversy, claim, or dispute arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association (AAA) conducted in South Carolina. You and the Company agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class-action lawsuit against the Company.
